Terms of Service

These Terms of Service ("Terms") govern your use of the Effizient Wholesale app ("App") provided by effizient LLC ("effizient," "we," "us," or "our"). By installing or using the App, you agree to these Terms.

1. Acceptance of Terms

By installing the App from the Shopify App Store, you agree to be bound by these Terms. If you are using the App on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of Service

Effizient Wholesale helps you offer wholesale pricing to specific customers on your Shopify store. The App provides:

  • Customer-specific pricing based on tags
  • Quantity-based discounts
  • Payment method customization for wholesale customers
  • Net payment terms (Net 30, Net 60, etc.)
  • Wholesale order tracking and reporting

3. Eligibility

To use the App, you must:

  • Have an active Shopify store
  • Be at least 18 years of age
  • Comply with Shopify's Terms of Service

4. Account Responsibilities

You are responsible for maintaining the security of your Shopify account and for all activities that occur through the App. You must notify us immediately if you suspect unauthorized access.

5. Fees and Payment

Fees for the App are as described in the Shopify App Store listing. All fees are billed through Shopify. We may change our fees with 30 days' notice.

6. Your Responsibilities

You agree to:

  • Use the App in compliance with all applicable laws
  • Configure your pricing rules accurately
  • Manage your relationships with your wholesale customers
  • Not use the App for fraudulent or illegal purposes

7. Intellectual Property

The App and its features are owned by effizient LLC. You are granted a limited license to use the App with your Shopify store. You retain ownership of your business data.

8. Privacy

Your use of the App is subject to our Privacy Policy, which describes how we collect and use your information.

9. Disclaimers

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT THE APP WILL BE ERROR-FREE OR UNINTERRUPTED.

We are not responsible for issues caused by changes to Shopify, incorrect pricing configurations, or third-party services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EFFIZIENT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE APP.

Our total liability shall not exceed the amount you paid for the App in the twelve months before the claim arose, or $100, whichever is greater.

11. Indemnification

You agree to indemnify effizient LLC from any claims arising from your use of the App, your violation of these Terms, or your violation of any third-party rights.

12. Termination

You may stop using the App at any time by uninstalling it. We may suspend or terminate your access if you violate these Terms. Upon termination, your data will be deleted according to our Privacy Policy.

13. Governing Law

These Terms are governed by the laws of the State of Texas, United States. Any disputes will be resolved through binding arbitration, and you waive the right to participate in class actions.

14. Changes to Terms

We may update these Terms from time to time. Continued use of the App after changes constitutes acceptance of the updated Terms.
