Acceptable Use Policy

This Acceptable Use Policy ("AUP") governs use of the effizient platform, including our operations workspace and our wholesale ordering portal (together, the "Services"), provided by Effizient LLC ("effizient," "we," "us," or "our"). This AUP is part of, and incorporated into, the effizient Terms of Service (the "Agreement"). Capitalized terms not defined here have the meanings given in the Agreement. Violating this AUP is a material breach of the Agreement and may result in suspension or termination as described below and in the Agreement.

1. Your Responsibility

You ("Customer," "you") are responsible for your use of the Services and for all activity that occurs under your account, including use by your personnel and by your buyers and other end users. You must ensure that everyone who accesses the Services through you complies with this AUP, and you are responsible for their acts and omissions as if they were your own.

2. Prohibited Content and Activities

You may not use the Services to store, transmit, promote, or engage in any content or activity that:

  • Is illegal, or promotes or facilitates illegal activity
  • Infringes or misappropriates the intellectual property, publicity, privacy, or other rights of any third party
  • Is deceptive, fraudulent, or misleading, including phishing and impersonation
  • Contains or distributes viruses, malware, ransomware, or other malicious or harmful code
  • Constitutes unlawful, deceptive, or unsolicited marketing, including email or SMS spam. You are solely responsible for complying with all laws governing your communications, including the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), and Canada's Anti-Spam Legislation (CASL), and for obtaining any required consents from your recipients
  • Is harassing, abusive, defamatory, threatening, or otherwise objectionable
  • Violates the privacy of, or exploits, any individual, or exposes personal information without a lawful basis

3. Prohibited Technical Conduct

You may not, and may not permit anyone to:

  • Probe, scan, or test the vulnerability of, or breach the security or authentication measures of, the Services or any related system or network
  • Access or attempt to access any account, data, or system without authorization, or use the Services to gain unauthorized access to any third-party system
  • Interfere with, disrupt, degrade, or overload the Services or any related infrastructure, or the use of the Services by others
  • Send excessive automated requests, or crawl, scrape, or harvest data from the Services other than through documented application programming interfaces (APIs) and within their documented limits
  • Circumvent or attempt to circumvent usage limits, account caps, rate limits, or access controls
  • Reverse engineer, decompile, or disassemble any part of the Services, or attempt to derive source code, except to the limited extent that applicable law prohibits this restriction

4. Account and Usage Limits

You may not:

  • Share account credentials, or allow anyone other than authorized users to access the Services through your account
  • Exceed the wholesale-account cap, seat limit, or other usage limits of your plan, or take steps designed to avoid them
  • Resell, sublicense, rent, lease, or otherwise make the Services available to any third party except as expressly permitted by the Agreement

5. Responsibility for End Users

The Services allow your team and your buyers to access and use certain functionality. You are responsible for the conduct of all such end users, for the accuracy and lawfulness of the data they submit, and for ensuring they comply with this AUP and the Agreement. You must promptly disable access for any end user who violates this AUP.

6. High-Risk and Prohibited Uses

The Services are a business-to-business tool and are not designed or intended for use in high-risk activities where failure could lead to death, personal injury, or environmental or property damage. You may not use the Services in violation of applicable export control or economic sanctions laws, or make the Services available to any person or in any territory that is subject to such restrictions. The Services are not intended for consumers or children.

7. Enforcement and Suspension

We may investigate suspected violations of this AUP and cooperate with legal authorities. Where we reasonably determine that content or activity violates this AUP or the Agreement, we may remove or disable the content and suspend or limit access. WE MAY SUSPEND OR RESTRICT ACCESS IMMEDIATELY AND WITHOUT PRIOR NOTICE WHERE WE REASONABLY BELIEVE THAT DOING SO IS NECESSARY TO PROTECT THE SECURITY, INTEGRITY, OR AVAILABILITY OF THE SERVICES, TO PREVENT HARM, OR TO COMPLY WITH LAW. Where practicable, we will notify you and seek to limit the scope and duration of any suspension.

8. Reporting Violations

To report a violation of this AUP, including abuse, spam, security issues, or unlawful content, contact us at abuse@effizient.io. Please include enough detail for us to identify and investigate the issue.

9. Relationship to the Agreement

This AUP supplements and is governed by the Agreement. Consequences of a breach, remedies, limitations of liability, governing law, venue, and dispute resolution, including binding arbitration and the class-action waiver, are set out in the Agreement and are not restated here. If there is a conflict between this AUP and the Agreement regarding acceptable use, this AUP controls to the extent of the conflict.

10. Changes to This Policy

We may update this AUP from time to time. When we make material changes, we will update the version and effective date shown at the top of this page. Your continued use of the Services after an update takes effect constitutes acceptance of the revised AUP.
